On September 6th, 2023, FiinGroup successfully organized the Webinar “Economic Concentration Notification in M&A Transactions in Vietnam: Insights from Insiders” with the participation of over 600 attendees, including representatives from large local and foreign corporates, financial institutions, consulting firms, and leading local and foreign law firms in Vietnam.

The webinar aims to shed light on highly practical topics regarding the significant changes brought about by the Vietnam Competition Law 2018 and practices, impacting regulations governing merger filing in M&A transactions in Vietnam.
Below are the key takeaways from the Webinar:
- The number of economic concentration notification dossiers submitted and processed at the Vietnam Competition Commission has been increasing in recent years, indicating the business community’s rising awareness of compliance with the regulations and its provisions of the Competition Law governing economic concentration. According to the Vietnam Competition Commission, approximately 97% of dossiers are approved at the preliminary appraisal phase.
- The representative of the Vietnam Competition Commission also gave some notes on preparing the economic concentration notification dossier including thorough consultation with industry experts and legal experts, methodology and data sources for determining market size; market share and market concentration level must be based on reliable data sources; clarifying the nature of the merging parties’ control relationship to ensure compliance with the provisions of economic concentration notification.
- FiinGroup’s representative shared the insights on methodology and data sources to determine quantitative (including market share, combined market share, market concentration level and qualitative factors that might cause substantial anticompetitive effects in economic concentration notification dossiers in M&A transactions as well as provided specific illustrative examples.
